Welcome to HuntPay, a payment processing service designed for guides and outfitters (“HuntPay”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website (https://www.huntpay.com/), services, and related features (collectively, the “Service”). By accessing or using the Service, you (“User”, “you”, or “your”) agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.

1. Overview of the Service

HuntPay provides payment processing services to facilitate transactions for guides, outfitters, and their clients in the outdoor recreation industry. The Service allows Users to process payments, manage subscriptions, and handle financial transactions securely. These Terms apply to all Users, including but not limited to guides, outfitters, and their clients.

2. Eligibility

To use the Service, you must:

• Be at least 18 years old or the age of majority in your jurisdiction.
• Have the legal authority to enter into these Terms.
• Comply with all applicable laws, including those related to payment processing and outdoor recreation services.
• Provide accurate and complete information during account registration.

3. Subscription and Payment Terms

3.1 Subscription Plans

HuntPay offers subscription plans for our outfitters with a 12-month commitment, payable either monthly or annually. Subscription details, including pricing, are available at https://www.huntpay.com/. Pricing and plan details are subject to change, and any changes will be communicated to you in accordance with these Terms.

3.2 Payment

• Monthly Subscriptions: You will be billed monthly for the duration of the 12-month term. Payments are due on the same day each month, based on your subscription start date.

   

• Annual Subscriptions: You will be billed once annually for the full 12-month term at the start of the subscription period.

   

• Payments must be made via a valid payment method accepted by HuntPay (e.g., credit card, debit card, or other approved methods).

   

• All fees are non-refundable, except as required by law or as explicitly stated in these Terms.

3.3 Automatic Renewal

Subscriptions automatically renew for an additional 12-month term unless you cancel at least 30 days before the end of the current term. You authorize HuntPay to charge your provided payment method for the renewal term unless you cancel your subscription.

3.4 Cancellation

You may cancel your subscription by contacting HuntPay support at support@huntpay.com. Cancellation will take effect at the end of the current billing cycle (monthly or annual). No refunds will be issued for partial billing periods or unused portions of the subscription, except as required by law.

3.5 Late Payments

If payment is not received by the due date, HuntPay may suspend or terminate your access to the Service. You are responsible for any fees, including collection costs or legal fees, incurred due to late or non-payment.

4. Account Responsibilities

• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify HuntPay immediately of any unauthorized use of your account.

   

• Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

   

• Prohibited Activities: You may not use the Service for any illegal, unauthorized, or prohibited purpose, including but not limited to fraud, money laundering, or processing payments for services not related to guiding or outfitting.

5. Fees and Taxes

• Service Fees: In addition to subscription fees, HuntPay may charge transaction fees for payment processing, as outlined on our website or in your subscription agreement. All fees are in U.S. dollars unless otherwise stated.

   

• Taxes: You are responsible for any applicable taxes related to your use of the Service, including sales, use, or value-added taxes, unless HuntPay explicitly states otherwise.

6. Intellectual Property

• Ownership: HuntPay and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and content provided by HuntPay.

   

• License: HuntPay grants you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

   

• User Content: You retain ownership of any content you submit or process through the Service (e.g., client information, payment details). You grant HuntPay a non-exclusive, worldwide, royalty-free license to use, store, and process such content as necessary to provide the Service.

7. Prohibited Uses

You agree not to:

• Use the Service for any illegal or unauthorized purpose.

   

• Interfere with or disrupt the Service, including introducing malware or engaging in hacking attempts.

   

• Reverse-engineer, decompile, or attempt to derive the source code of the Service.

   

• Use the Service to process payments for activities unrelated to guiding or outfitting without prior written consent from HuntPay.

8. Termination

• By You: You may terminate your account by canceling your subscription and discontinuing use of the Service.

   

• By HuntPay: We may suspend or terminate your access to the Service at our discretion, with or without notice, for reasons including but not limited to violation of these Terms, non-payment, or suspected fraudulent activity.

   

• Effect of Termination: Upon termination, your right to use the Service will cease, and any outstanding fees will become due. HuntPay is not responsible for any loss of data or funds resulting from termination.

9. Privacy

Your use of the Service is subject to HuntPay’s Privacy Policy, available at https://www.huntpay.com/privacy (or as otherwise provided). The Privacy Policy explains how we collect, use, and protect your personal information.

10. Disclaimers and Limitation of Liability

• Disclaimer: The Service is provided “as is” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. HuntPay does not guarantee that the Service will be uninterrupted, error-free, or secure.

   

• Limitation of Liability: To the maximum extent permitted by law, HuntPay and its affiliates, officers, employees, or agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. HuntPay’s total liability for any claim will not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless HuntPay, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or losses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Governing Law and Dispute Resolution

1. Governing Law: These Terms will be interpreted in accordance with the laws of the State of Missouri and the United States of America, without regard to its conflict-of-law provisions.  You and we agree to submit to the personal jurisdiction of a state court located in Cape Girardeau County, Cape Girardeau, Missouri or a United States District Court, Eastern District of Missouri located in Cape Girardeau, Missouri for any actions for which the parties retain the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights, as set forth in the Dispute Resolution provision below.

2. Dispute Resolution: Dispute Resolution
1. You and HuntPay agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, or to the use of the Services or use of the Site or Application (collectively, “Disputes”) will be settled by binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights.  You acknowledge and agree that you and HuntPay are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any purported class action or representative proceeding.  Further, unless both you and HuntPay otherwise agree in writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of any class or representative proceeding.  If this specific paragraph is held unenforceable, then the entirety of this “Dispute Resolution” section will be deemed void.  Except as provided in the preceding sentence, this “Dispute Resolution” section will survive any termination of these Terms.

    

2. Arbitration Rules and Governing Law.  The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the “AAA Rules”) then in effect, except as modified by this “Dispute Resolution” section.  (The AAA Rules are available at https://www.adr.org/Rules or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act will govern the interpretation and enforcement of this section.

    

3. Arbitration Process.  The arbitrator will be either a retired judge or an attorney licensed to practice law in the state of Missouri and will be selected by the parties from the AAA’s roster of consumer dispute arbitrators.  If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules.
4. Arbitration Procedure.  If your claim does not exceed $10,000, then the arbitration will be conducted solely on the basis of documents you and HuntPaysubmit to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary.  If your claim exceeds $10,000, your right to a hearing will be determined by the AAA Rules.  Subject to the AAA Rules, the arbitrator will have the discretion to direct a reasonable exchange of information by the parties, consistent with the expedited nature of the arbitration.

    

5. Arbitrator’s Decision.  The arbitrator will render an award within the time frame specified in the AAA Rules.  The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award.  Judgment on the arbitration award may be entered in any court having jurisdiction thereof.  The arbitrator’s award damages must be consistent with the terms of the “Limitation of Liability” section above as to the types and the amounts of damages for which a party may be held liable.  The arbitrator may award declaratory or injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

    

6. Fees.  Your responsibility to pay any AAA filing, administrative and arbitrator fees will be as set forth in the AAA Rules.

13. Changes to These Terms

HuntPay may update these Terms from time to time. We will notify you of material changes via email, through the Service, or by posting the updated Terms on our website. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

15. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and HuntPay regarding the Service.

   

• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

   

• No Waiver: HuntPay’s failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

   

• Assignment: You may not assign or transfer your rights or obligations under these Terms without HuntPay’s prior written consent. HuntPay may assign these Terms without restriction.

When you opt-in to the service, we will send you a message to confirm your signup.

By opting into messages, you agree to receive recurring automated marketing and informational text messages from HuntPay. Automated messages may be sent using an automatic telephone dialing system to the mobile telephone number you provided when signing up or any other number that you designate.

Message frequency varies, and additional mobile messages may be sent periodically based on your interaction. HuntPay reserves the right to alter the frequency of messages sent at any time to increase or decrease the total number of sent messages. HuntPay also reserves the right to change the short code or phone number where messages are sent.

Message and data rates may apply. If you have any questions about your text plan or data plan, it is best to contact your wireless provider. Your wireless provider is not liable for delayed or undelivered messages.

Your consent to receive marketing messages is not a condition of purchase.

Cancellation

You can cancel any time by texting “STOP”. After you send the SMS message “STOP”, we will send you a message to confirm that you have been unsubscribed and no more messages will be sent. If you would like to receive messages from HuntPay again, just sign up as you did the first time and HuntPay will start sending messages to you again.

Transfer of Number

You agree that before changing your mobile number or transferring your mobile number to another individual, you will either reply “STOP” from the original number or notify us of your old number at support@huntpay.com.
